ARTICLE I – NAME

This league shall be known as Cypress Youth Baseball, Inc., a non-profit organization. This league is a member of PONY Baseball, Inc., a non-profit Pennsylvania corporation. It will be referred to as “CYB”, or the “League” in this document.

 

ARTICLE II – STATEMENT OF OBJECTIVES

Section 1 – Primary Objective: The specific purpose of this corporation is to engage in the administration, organization, and fundraising activities for the sport of youth baseball within the City of Cypress, County of Orange, State of California. It shall be the policy of this corporation to conduct its activities so that the physical and moral welfare of the young people for whose benefit it is organized shall remain paramount and all matters of policy shall be determined on that basis.

Section 2 – Secondary Objective: The corporation shall provide instruction, adequate facilities, supervision and administration so that the children and youth of the City of Cypress may engage in competitive baseball.  The corporation will promote the development of athletic skills for baseball, as well as the development of team members as responsible contributing citizens in our community through emphasis on academic excellence, participation in school and community activities, community service, and responsible citizenship.

Section 3 – Additional Objectives: In addition to the administration and organization of youth baseball, the corporation will engage in fundraising activities which includes, but is not limited to, solicitation of donations from community businesses, service organizations, and individuals, and profit-making activities, including car washes, candy sales, and benefit dinners.

No person who is a member of, or who is employed by, or who is in any way connected with the League shall receive any personal financial benefit therefore beyond the reasonable value of the services in carrying out the purpose for which the League has been organized.

 

ARTICLE III – PURPOSE

The purpose of the League shall be to organize, teach, and supervise the playing of baseball under specialized rules and regulations, to secure suitable and adequate financial backing for these purposes, provide suitable playing facilities and equipment for these purposes.

 

ARTICLE IV – MEMBERSHIP

Cypress Youth Baseball, Inc. shall consist of three (3) categories of voluntary membership:

Section 1 – Youth Membership: Any child or youth meeting the age and residency requirements as a player in the organization.

Section 2 – Adult Membership: Any parent or guardian of a player, any volunteer adult leader, manager, coach or other adult interested in activity furthering the objectives and policies of this organization shall be eligible for membership.

Section 3 – Honorary Membership: This Board of Directors of Cypress Youth Baseball, Inc. may confer such membership to financial donors, sponsors, or other individuals at its discretion.

 

ARTICLE V – BOARD OF DIRECTORS

Section 1 - The Board of Directors shall be those persons elected by the members of the League at the Election meeting, which will be held on the last Tuesday of June for the terms and/or in the manner provided in the By-Laws of the League. The Board shall consist of at least ten (10), but no more than thirty-five (35) voting members. All voting Board members must attend no fewer than 50% of the regularly scheduled Board meetings, or they will be subject to dismissal and replacement by the Board.

Section 2 – In recognition of the general powers of the Board of Directors exercised by virtue of their position, they shall have the power: to purchase or otherwise acquire for the League any property, right or privilege which the League is authorized to acquire by the League membership, at such price or consideration and upon such terms as the Board of Directors may deem expedient and as is approved by vote of the League membership; to appoint or remove or suspend subordinate agents or volunteers and to determine their duties and fix their salaries; to determine who shall be authorized, on behalf of the League, to sign bills, notices, receipts, acceptances, endorsements, checks, releases, contracts, and any other instruments; to delegate any powers of the Board of Directors to any standing committee, special committee or any officer or agent of the League, with any powers as the Board of Directors may see fit to grant and to generally do all such lawful acts and take actions as may be necessary and proper.

 

ARTICLE VI – GOVERNMENT

Section 1 – The government of the League shall be under the direct supervision of the Board of Directors.

Section 2 – All rules governing the playing of baseball, the legality of players and related questions shall be in accordance with the Rules and Regulations of PONY Baseball, Inc., with such modifications adopted by the Board of Directors of the League, and shall be submitted to PONY Baseball, Inc. for their review.

 

ARTICLE VII – BY-LAWS

Any By-Laws, not consistent with this Constitution, embodying additional provisions for government of the Corporation, shall be adopted and may be amended by the Board of Directors, or at a special meeting of the League membership with a majority vote of those being present.

 

ARTICLE VIII – AMENDMENT

This Constitution may be amended by a majority vote of the Board of Directors at any regular meeting of the Board, or at a special meeting of the League membership called for that purpose with a majority vote of those being present.
